Terms and Conditions

The Site describes BlackForge, our software work and the companies and projects in the BlackForge family, and is provided for general information. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or other financial product, or is investment, legal, tax or accounting advice. Visiting the Site or contacting us does not create a client, advisory or fiduciary relationship. Please read Legal & Disclosures, which explains this in more detail.

Some areas of the Site, and some pages that are not linked from it, are available only to people we choose to give a code or a link. If you are given access:

• The code or link is for you alone. Do not share it, post it or let anyone else use it. You are responsible for everything that happens under it.
• Everything in those areas, including text, figures, films, screens and designs, and the fact of what is shown there, is confidential and proprietary to us (“Confidential Material”). Use it only to evaluate a possible relationship with BlackForge.
• Do not copy, record, screenshot, forward, publish, summarize for others or otherwise disclose Confidential Material, except to your own professional advisers who need to know it and are bound to keep it confidential, or as the law requires (in which case, where the law allows, tell us first).
• Do not try to guess, brute-force or bypass a code, a lock or any other access control, or use automated tools against them.
• We may change, suspend or revoke any code or link at any time without notice.

Information is not Confidential Material if it is or becomes public through no fault of yours, if you already lawfully held it, or if you lawfully obtain it from someone who is free to give it to you. These obligations last for as long as the information remains confidential. Because a breach could cause harm that money cannot fully repair, we may seek an injunction or other equitable relief in addition to any other remedy.

You agree not to:

• use the Site unlawfully, or in a way that infringes anyone’s rights;
• interfere with or disrupt the Site, our servers or networks, or place an unreasonable load on them;
• probe, scan or test the Site for vulnerabilities, or breach or circumvent security or authentication measures, without our written permission;
• scrape, harvest or copy the Site by automated means, other than ordinary search-engine indexing that follows our robots.txt file;
• reverse engineer, decompile or extract source code, shaders, models or other technology from the Site, except to the extent the law allows despite this restriction;
• introduce malware or other harmful code;
• use the Site or its content to train, tune or evaluate machine-learning models, or to build a competing product or service;
• frame, mirror or republish the Site;
• impersonate anyone or misrepresent your affiliation; or
• submit false, misleading or unlawful content, or another person’s personal information without authority.

If you believe you have found a security vulnerability, please tell us at agent@blackforgeventures.com and give us a reasonable chance to respond before you disclose it. Do not access, change or copy data that is not yours.

The Site and everything on it, including the text, graphics, designs, films, animations, interface and code, and the way they are selected and arranged, is owned by BlackForge or its licensors and protected by copyright, trademark and other laws. Subject to these Terms, we give you a limited, revocable, non-exclusive, non-transferable license to view the Site and to use it for your own lawful, internal business evaluation. We keep all other rights. No other license or right is granted by implication, estoppel or otherwise.

“BlackForge,” “BlackForge Ventures,” the names of BlackForge companies and products, and our logos and monograms, including those shown with the ™ symbol, are trademarks or trade names of BlackForge or its affiliates. The ™ symbol shows that a mark is claimed; it does not mean the mark is registered. Other names and logos on the Site belong to their owners. You may not use any of them without the owner’s written permission.

When you contact us through the Site, you agree to give us accurate information and to send only content you have the right to send. We handle personal information as described in our Privacy Policy.

Unless we have signed a written agreement that says otherwise, what you send us (including ideas, proposals and feedback) is not confidential, and we have no obligation to keep it secret, to review it, to respond, to pay for it, or to avoid building something similar. You give us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify and exploit it for any purpose, including to evaluate and respond to you and to develop and improve our work, without credit or compensation. So please do not send confidential, proprietary or sensitive information through the Site. Ask us first, and we will arrange suitable terms.

The Site may link to websites and services of other BlackForge companies and of third parties. Links are for convenience. They do not mean that we endorse the site or its operator, and we are not responsible for them. Their terms and privacy practices apply when you use them, and you do so at your own risk. We also describe companies we work with or have relationships with; those descriptions do not imply that they endorse us or that we have any relationship with them beyond what we say.

The Site and all content are provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent the law allows, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Site will be uninterrupted, secure or error-free, that defects will be corrected, or that the content is accurate, complete or current.

Information on the Site may be out of date or incomplete and can change without notice. Descriptions of products, films and demonstrations are illustrative. Some places do not allow certain disclaimers, so some of the above may not apply to you; in that case it applies to the greatest extent the law permits.

To the fullest extent the law allows, BlackForge and its series, subsidiaries, affiliates, members, managers, officers, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Site or these Terms, whether in contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility of those damages. Our total liability for all claims relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or willful misconduct. You do not pay to use the Site, and this limit reflects that.

You will defend, indemnify and hold harmless BlackForge and its series, subsidiaries, affiliates, members, managers, officers, employees and agents from any claim, liability, damage, loss and expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, your handling of Confidential Material, content you submit, or your violation of law or of anyone’s rights. We may take over the defense of any matter, and you will cooperate with us.

We may suspend or end your access to the Site, or to any area or code, at any time and for any reason, including if we believe you have breached these Terms, without notice or liability. You may stop using the Site at any time. Provisions that by their nature should continue will survive, including those on confidential material, intellectual property, submissions, disclaimers, limits of liability, indemnification, governing law and general terms.

We may change, suspend or discontinue any part of the Site at any time. We may also update these Terms. We will post the new version on this page with a new “Last updated” date, and using the Site after that means you accept the changes. A change does not apply to a dispute that began before it.

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You and BlackForge agree that the state and federal courts located in the State of Delaware have exclusive jurisdiction over any such dispute, and each of us consents to personal jurisdiction and venue there. Either of us may ask any court of competent jurisdiction for an injunction to protect intellectual property or confidential information.

You confirm that you are not located in, organized in or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government list of prohibited or restricted parties. You will not use the Site in violation of U.S. export-control or sanctions laws.

You agree that we may communicate with you electronically, including by email and by posting on the Site, and that these communications satisfy any legal requirement that they be in writing. • Entire agreement. These Terms, the Privacy Policy and Legal & Disclosures, with any additional terms for particular materials, are the entire agreement between you and us about the Site and replace earlier understandings about it.
• Severability. If a provision is unenforceable, it will be enforced as far as possible, and the rest stays in effect.
• No waiver. Not enforcing a provision is not a waiver of it.
• Assignment. You may not assign or transfer these Terms without our written consent. We may assign them, including to a successor to our business.
• No partnership; no third-party rights. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship. They give no rights to anyone else, except that the BlackForge companies and people named in the disclaimers and limits above may rely on them.
• Interpretation. Headings are for convenience. “Including” means “including without limitation.”
